			<p style="text-align: justify;"><img fetchpriority="high" decoding="async" class="alignright size-medium wp-image-7114" src="https://www.moore-bdr.sk/wp-content/uploads/2023/02/1469594825-network-300x225.jpg" alt="" width="300" height="225" srcset="https://www.moore-bdr.sk/wp-content/uploads/2023/02/1469594825-network-300x225.jpg 300w, https://www.moore-bdr.sk/wp-content/uploads/2023/02/1469594825-network.jpg 720w" sizes="(max-width: 300px) 100vw, 300px" />The latest Amendment to the Income Tax Act introduced several substantial changes in transfer pricing area in Slovakia. The most of changes have come into effect from 1 January 2023. In addition, the Slovak Ministry of Finance announced updated guidelines defining the contents of transfer pricing documentation.</p>
<p style="text-align: justify;">The changes which will start to apply from 1 January 2023 are as follows:</p>
<ul style="text-align: justify;">
<li>New definition of a significant controlled transaction that is considered as significant only if related taxable income or tax-deductible expense exceeds EUR 10,000. This stipulation aims to introduce a „safe harbour” and reduce the administrative burden for taxpayers for low-value transactions. The tax authorities will not review compliance with the arm’s length principle in the case of non-significant transactions.</li>
<li>The use of the median (middle value) by tax authority when the price or rather profitability is not evidently in line with the arm’s length principle. However, if the taxpayer, during the tax audit, will support the appropriateness of the use of another value within the range of the independent values with evidence (i.e. other than the median), the tax base will be adjusted according to this value. This provision will clarify an ambiguity regarding the procedure of the tax authorities when determining market prices and profitability values.</li>
<li>Addition to the definition of the economic interrelation of close persons (according to the Slovak Civil Code´s definition such as a relative in a direct line, sibling, husband/wife, etc.). The shares of close persons will be counted for the purposes of calculating the direct share, indirect share, or indirect derived share. If the sum of shares is at least 25%, the relevant persons or entities are considered related persons.</li>
<li>The OECD Transfer Pricing Guidelines (“OECD Guidelines”) have been introduced into the Slovak legislation by adding a reference to them in the Income Tax Act. OECD Guidelines were generally used so far as an interpretive guide for the area of transfer pricing but decisions of Slovak courts have challenged their effect and the use of the Guidelines as a source of Slovak law. The provision improves legal certainty in this issue.</li>
<li>The bilateral and multilateral Advance Pricing Agreement (APA) may be issued with effect for more than 5 tax periods if the relevant authorities of contracting states have agreed on a longer period.</li>
<li>Taxpayers can submit transfer pricing documentation in any foreign language without a need to request official approval in advance. However, the tax authorities may request to submit documentation in the Slovak language within 15 days.</li>
<li>The amendment changes the rules for determining the tax base of a Slovak non-resident’s Permanent Establishment in Slovakia. The aim is to harmonize the Slovak Income Tax Act with the OECD approach, in particular in assessing costs demonstrably incurred for a PE by its founder. Foreign taxpayers doing business in Slovakia through PE are allowed to assess the tax base as the difference between the income and expenses attributable to the permanent establishment, not at the cash-flow basis.</li>
</ul>
<p style="text-align: justify;"><strong>Updated Guidelines on the contents of the documentation</strong></p>
<p style="text-align: justify;">The Slovak Ministry of Finance announced new guidelines defining the contents and scopes of transfer pricing documentation. The main change is the incorporation of the concept of a significant controlled transaction (following the amendment to the Income Tax Act) into Guidelines. This change will reduce significantly the number of taxpayers required to prepare and keep transfer pricing documentation in shortened simplified form.</p>
<p style="text-align: justify;">In simple terms, the taxpayer will not be obliged to prepare transfer documentation for relevant insignificant transactions (less than EUR 10,000) in sense of the new definition of significance.</p>
<p style="text-align: justify;">According to the updated Guidelines, taxpayers are not even required to prepare and keep documentation in shortened simplified form if transactions cannot be considered as significant in sense of definition of materiality according to the Accounting Act in the and meantime one of the conditions should be met in a given tax period as follows:</p>
<p style="text-align: justify;">a) taxpayer did not report a tax loss in financial year;<br />
b) did not apply the tax loss deduction or<br />
c) applied the specific tax rate of 15% (taxpayers whose turnover for a maximum of 12 previous consecutive calendar months did not reach EUR 49,790)</p>
<p style="text-align: justify;">However, increased documentation requirements and the obligation to keep documentation even for insignificant transactions should be applied in cases where, for example, the taxpayer applies for APA, obtains tax relief or perform transactions with non-cooperative jurisdictions.</p>
<p style="text-align: justify;">Reporting documentation obligation for such a controlled transaction will be fulfilled by a properly completed income tax return for the relevant tax period.</p>
<p style="text-align: justify;">These Guidelines have effect for tax periods beginning on 31 December 2022 and subsequently.</p>

It may also have an impact on your transfer pricing.</strong></p>
<p style="text-align: justify;">Companies have been experiencing fluctuations in revenues and cash flows and facing forced closures during the pandemic. On the other hand, certain segments and companies have strengthened their position significantly. Many countries have intervened and provided subsidies to help national businesses in order to protect local economies and preserve jobs. During the pandemic, independent companies and businesses in the market reacted differently to the new economic conditions. The companies have re-evaluated their existing business strategies and contractual arrangements with third parties. Economic entities faced and continue to face new kinds of risks.</p>
<p style="text-align: justify;">All these changes also have an impact on price comparisons and profitability of transactions with related parties. The Organisation for Economic Co-operation and Development has therefore issued guidance on the impact of the COVID-19 pandemic on transfer pricing, addressing, for example, the comparability of data for the purposes of comparability analysis as well as the potential impact of government support programmes on transfer pricing.</p>
<p style="text-align: justify;">As the issue of transfer pricing becomes even more complex, the correct application of the guidance can be crucial for companies. A few practical conclusions can be drawn from this; some may probably be useful for your company, as well.</p>
<ul style="text-align: justify;">
<li>If the industry in which you operate has been affected by the pandemic, you may need to update the comparability analysis or quantification of the impact of the pandemic.</li>
<li>If you have received a government subsidy, taxpayers should perform an analysis to determine the impact of government aid programmes on their operations and their market and adjust their transfer pricing accordingly.</li>
<li>If your group or company has faced significant losses and new risks, you need to update your functional and risk profile and consider the allocation of losses or specific costs within the group of companies.</li>
</ul>
<p style="text-align: justify;"><strong>The Financial Administration will focus more on transfer pricing in tax audits.</strong></p>
<p style="text-align: justify;">In the first half of the year, the Financial Administration announced that the Office for Selected Economic Entities will invite 889 taxpayers to voluntarily complete a simple questionnaire focused on transactions they have carried out with related parties for the tax period of the calendar year 2020, or for the tax period other than the calendar year that ended in 2020. The Tax Administration expects that by analysing the data, it will be able to fight tax evasion and possible tax avoidance more effectively. The data obtained will also be used to assess the need for legislative and non-legislative changes in the area of transfer pricing and their potential impact.</p>
<p style="text-align: justify;">The Office for Selected Economic Entities is one of the institutions of the Financial Administration, which was established in 2019 by transforming the Tax Office for Selected Taxpayers. Its scope includes banks or branches of foreign banks, insurance and reinsurance companies and branches of foreign insurance and reinsurance companies, securities dealers, pension management companies or supplementary pension companies, payment institutions, entities with the status of an approved economic entity, tax entities that have achieved an annual turnover of EUR 40 million or more for each of two consecutive tax periods.</p>
<p style="text-align: justify;">This growing trend can also be observed on the basis of statistical data on tax audits from the Financial Administration’s Open Data portal. In 2021, a total of 46 tax audits focusing on transfer pricing in the context of international taxation were completed, of which more than 75% were concluded with a finding (35). The amount of the total findings (in EUR) in 2021 exceeded EUR 46 million, representing average findings of more than EUR 1.3 million for each completed tax audit.</p>

<p>Ein vollwertiger Hersteller führt alle Fertigungsaktivitäten von der Konzeption des Produkts bis zum Endkunden durch. Dieser Hersteller trägt alle Risiken im Zusammenhang mit Produktion und Verkauf. Er besitzt immaterielle Vermögenswerte, Patente, Vorschläge.</p>
<p>Ein Hersteller mit eingeschränkter Kompetenz ist auch für alle Phasen des Produktionsprozesses verantwortlich, mit der Ausnahme, dass immaterielle Vermögenswerte nicht in seinem Besitz sind, sondern in Form von Lizenzen verpachtet werden.</p>
<p>Der Auftraggeber ist nur für Herstellung und Qualitätskontrolle zuständig. Die Produktion erfolgt nach der Spezifikation des Principals. Seine Produktion wird verkauft. Er besitzt das Recht auf hergestellte Produkte, bindet sich jedoch nicht in Produktdesign und Verkaufsaktivitäten ein. Er kann somit als Dienstleister betrachtet werden.</p>
<p>Lohnarbeit birgt das niedrigste Risikoprofil. Dieses Modell ähnelt dem Modell des vereinbarten Herstellers, mit dem Unterschied, dass der Hersteller bei der Loharbeit nicht das Recht auf Lager und fertige Produkte hat.</p>
<p>Es gilt die Grundregel, je mehr Risiko und ausgeübte Befugnisse, desto höher die zu erwartende Belohnung.</p>

Juli 2017 gab die OECD eine neue aktualisierte Fassung der Richtlinie zu den Verrechnungspreisen für multinationale Unternehmen und Steuerverwaltungen heraus.  Die eingearbeiteten Änderungen sind von weltweiter Bedeutung, da die OECD-Richtlinie die Haupt- und die am meisten respektierte Quelle von Leitlinien im Bereich der Verrechnungspreise darstellt.</p>
<p style="text-align: justify;">In die neue Fassung wurden hauptsächlich Änderungen eingearbeitet, die in den Jahren 2015 und 2016 im Zusammenhang mit dem Projekt des Aktionsplans zum Base Erosion and Profit Shifting (BEBS) und seiner Maßnahmen 8-10 Sicherstellung der Übereinstimmung zwischen den Verrechnungspreisen und der Wertbildung und mit der Maßnahme 13 Verrechnungspreisdokumentation und CbC Reporting verabschiedet wurden. Neben den erwähnten Änderungen umfasst die aktualisierte Fassung auch Leitlinien in der Applikation der sog. „Safe Harbors“, die 2013 verabschiedet wurden.</p>
<p style="text-align: justify;">Die Version der Richtlinie aus dem Jahre 2017 aktualisiert die Fassung der Richtlinie von 2010. Die ursprüngliche Fassung der Richtlinie wurden vom OECD-Ausschuss 1995 verabschiedet und herausgegeben. Obwohl die OECD-Richtlinie von der Mehrzahl der Steuerverwaltungen weltweit akzeptiert wird, hat sie in der Slowakischen Republik bislang nur Empfehlungscharakter.</p>
