<p style="text-align: justify;">We would like to draw your attention to several interesting news regarding the amendment to the Tax Code.  On 27 October 2021 the National Council of the Slovak Republic approved an amendment to Act No. 563/2009 Coll. on Tax Administration (Tax Code), as amended (hereinafter referred to as the “Tax Code”), the draft of which was submitted by the Ministry of Finance of the Slovak Republic in April 2021.</p>
<p style="text-align: justify;">Information about this forthcoming amendment to the Tax Code was summarised in our article: <a href="https://www.moore-bdr.sk/navrhy-legislativnych-zmien/#1626698925223-087c35da-e984">PROPOSALS FOR LEGISLATIVE AMENDMENTS</a>.</p>
<p style="text-align: justify;">We would like to inform you that the changes adopted by this amendment concern not only the Tax Code but also the Income Tax Act No. 595/2003 Coll. and the Value Added Tax Act No. 222/2004 Coll., among others.</p>

			<p>As of 15 November 2021, an amendment to the VAT Act <strong>regarding the obligation to report bank accounts to the tax authorities</strong> became effective.<strong> </strong>The amendment introduces an obligation for taxpayers to report to the Financial Directorate of the Slovak Republic all own bank accounts used for business activities subject to tax under the VAT Act. The Financial Directorate of the Slovak Republic will publish a list of all reported bank accounts on its website. Taxpayers who are registered for VAT as of 15 November 2021 shall be obliged to report their bank accounts by 30 November 2021.</p>
<p>Section 6(7) provides that if taxpayers report a bank account owned by another person, such account shall be deemed to be their own for the purposes of the VAT Act.</p>
<p>The reporting obligation arises immediately on the date on which the taxpayer became VAT payer or on the date on which the taxpayer opened such a bank account. If the customer pays the invoiced amount to the supplier’s account that was not listed in the published report on the website of the Financial Administration of the Slovak Republic on the day of the provision of service, the customer shall be liable for the VAT stated on the invoice.</p>

		<div class="wpb_wrapper">
			<p>The amendment to the Tax Code brings changes to the tax reliability index, which should now emphasise its motivational character. The rating will be assigned to all taxpayers registered for income tax and the evaluation period for determining their rating will be one calendar half-year.</p>
<p>The criteria used to determine the taxpayers’ tax reliability index will be regulated in a decree of the Ministry of Finance. Taxpayers who achieve a “highly reliable” rating will:</p>
<ul>
<li>be granted extended deadlines for meeting the obligation arisen on the basis of a request from the tax administrator in connection with tax audits or local surveys (at least 15 days compared to an eight-day deadline for entities rated “unreliable”);</li>
<li>have fees reduced by 50% for a binding opinion of the tax administrator;</li>
<li>have a partial protocol drawn up within the scope of a tax audit to determine the validity of a claim for a refund of excess VAT deductions.</li>
</ul>
<p>The approved amendment to the Tax Code intends to motivate taxpayers who will be deemed unreliable on the basis of the index to adopt a more responsible approach by granting them the so-called malus, i.e. shortening the deadline for fulfilling certain obligations in tax proceedings, tax adjustment procedures, or local surveys carried out by the tax administrator to eight days.</p>
<p>However, if such taxpayers submit a duly justified request to extend that period, the tax administrator may extend it accordingly.</p>

			<p>As of 1 January 2022, three new or updated information lists will be published on the website of the Financial Administration, which will include:</p>
<ul>
<li>bank account numbers of VAT payers, which will be made available in the VAT payers’ information list;</li>
<li>numbers of the tax administrator’s accounts held for taxpayers (the so-called taxpayers’ personal accounts) who are VAT payers, which will be made available in the VAT payers’ information list;</li>
<li>a list of taxpayers together with their tax reliability index, resulting from the introduction of the so-called public tax reliability index. The Financial Administration shall publish this list by 30 June 2022 at the latest.</li>
</ul>

			<p>The approved amendment to the Tax Code introduces a change in the Income Tax Act, particularly in the amount of the deduction for eligible expenses. The approved amendment reduces the tax advantage in the form of the so-called super-deduction to only 100% of eligible expenses incurred for research and development activities. The reduction will be applied for the first time for the tax period starting on 1 January 2022 at the earliest.</p>

			<p>As of 1 January 2022, taxpayers will be able to claim an additional deduction (15% to 55%) of investment expenses from the tax depreciation of the assets concerned. The amount of the deduction depends on the average amount of reinvestment in terms of percentage and euros, compared to the average over the previous three tax periods. The minimum investment amount is EUR 1 million and the minimum reinvested average value is 700%. This is a temporary instrument governed by the law aimed at supporting investments with higher added value, i.e. productive investments with links to Industry 4.0.</p>
<p>The law establishes the following conditions that have to be met by taxpayers in order to claim this deduction:</p>
<ul>
<li>A 4-year investment plan must be drawn up for the 2022–2025 tax period, declaring the period during which the investments will be made;</li>
<li>The entrepreneur must invest in higher value-added assets, putting them into use or including them in business assets during the investment plan period;</li>
<li>The entrepreneur must invest in aggregate at least 7 times the average value of the investments, which is the arithmetic average of the investments over the three tax periods preceding the one in which the investment plan period begins;</li>
<li>The deduction may be claimed over the depreciation period of assets, but not more than for ten consecutive taxable periods;</li>
<li>The entrepreneur must earn a profit in the taxable period in order to claim the deduction;</li>
<li>The deduction cannot be claimed, for example, if the business is new and has been operating for less than 3 taxable periods.</li>

<p>In practice, this means that the more you invest, the higher the additional deduction you can claim. For example, if you invest EUR 3 million during an investment period, you will be entitled to a 15% deduction. If you invest more than EUR 50 million, the deduction will be up to 50% of the tax depreciation of the assets concerned.</p>

		<div class="wpb_wrapper">
			<p>This institute is based on Section 13a of the Commercial Code and it is an instrument designed to combat the abuse of “straw men” (mostly in the field of VAT). The proposed amendment will enable the tax administrator to issue a decision on the natural person’s exclusion from acting as the statutory representative or a member of the statutory body or the supervisory body in a commercial company or a cooperative (taxpayer).</p>
<p>The exclusion does not apply to the taxpayer, but only to the natural person who acts on behalf of the taxpayer when the conditions laid down by law are met. Once the conditions for exclusion are met, the tax administrator may issue a decision to exclude the natural person (statutory representative) for three years from the possibility of acting on behalf of the company or cooperative, but such natural persons continue to be entitled to do business as self-employed persons and be partners, i.e. this institute does not exclude the natural person from ownership. The excluded natural person (excluded on the basis of a decision delivered to that natural person) may appeal against that decision but they cannot exercise extraordinary remedies.</p>

			<p>With effect from 1 January 2022, the following additional changes will take place by the adopted amendment to the Tax Code:</p>
<ul>
<li>Abolition of the summary protocol;</li>
<li>Time limit for inspection of files – taxpayers will be allowed to inspect files the following working day after they request it, and they may request it by phone, via electronic means, or in writing;</li>
<li>Evidence – tax administrators may also carry out so-called joint actions for the purpose of evidence, such as oral hearings and questioning of witnesses;</li>
<li>Witness examination – tax administrators will be able to examine witnesses and experts for the purposes of tax administration by video conference or other means of communication technology. Minutes shall be drawn up, recording such examinations.</li>

			<p style="text-align: justify;">Dear Foreign Readers,</p>
<p style="text-align: justify;">We have already informed you by email about the obligation to report bank accounts to the financial administration by 30.11.2021.</p>
<p style="text-align: justify;">Now we bring you other interesting facts from the amendment to the VAT Act that might be of interest to you.</p>
<h3 style="text-align: justify;"><span style="color: #00a0e3;">The extension of the liability for unpaid VAT – the addition of a presumption in relation to the notification obligation of bank accounts</span></h3>
<p style="text-align: justify;">A new presumption is being introduced which constitutes sufficient grounds for the tax authorities to conclude that the customer knew or could have known that the supplier would not pay the tax in whole or in part on the goods or services supplied to him/her. This is, for example, a situation where the customer has paid an equivalent to an undisclosed bank account of the supplier, where the supply are non-exempt goods and the person liable to pay tax on the goods is the supplier (so not a reverse charge) and the supplier has not paid the tax when it is due. For these purposes, the date of payment shall be deemed to be the date on which the instruction is given to the payment service provider.</p>
<p style="text-align: justify;">If the presumption arises, <u>the tax administrator</u> (the supplier&#8217;s tax office) <u>may require the customer to pay the tax shown on the invoice which the supplier has not paid in whole or in part</u>. The tax to be paid by the customer on behalf of the supplier is payable within 8 days from the date of receipt of the decision (this is the amount of tax on the invoice).</p>
<p style="text-align: justify;">The liability obligation shall arise on the basis of a decision which shall be enforceable upon expiry of 8 days from the moment of delivery to the customer. The guarantor shall have the right to appeal against this decision, which shall have no suspensive effect.</p>
<p style="text-align: justify;">On appeal, the person who has been ordered to pay the unpaid tax is given the opportunity to rebut the presumption of knowledge that the tax will not be paid.</p>
<p style="text-align: justify;">Note that sufficient grounds for liability for tax are defined in section 69(14)(a) and (c), and these are defined as <strong>rebuttable </strong>presumptions.</p>
<p style="text-align: justify;">How can the customer avoid having to prove in tax proceedings that he/she did not know and could not have known that the supplier would not pay the tax?</p>
<p style="text-align: justify;">The customer has the following two ways to do this:</p>
<ol style="text-align: justify;">
<li>The payer shall check the account number to which the supplier requests payment with the account numbers published on the website of the FR SR when making the payment (new reporting obligation of payers)</li>
<li>The payer can use the so-called &#8220;split payment&#8221;.</li>
</ol>
<h3 style="text-align: justify;"><span style="color: #00a0e3;">Split payment – a special way of paying VAT on an invoice directly to the tax authorities – avoiding liability</span></h3>
<p style="text-align: justify;">Following the extension of the institute of liability for unpaid VAT and changes in the reporting obligation of bank accounts, a <strong>special method of payment of VAT on invoices directly to the tax administrator</strong>is being introduced.</p>
<p style="text-align: justify;">For example, if the supplier has an unrecognized bank account on the invoice, the customer can pay the invoice without VAT and transfer the tax directly to the supplier&#8217;s special account held with the tax administrator (hence the introduction of a new record listing the special taxpayer accounts (TPAs) of all VAT payers). This mechanism can be used in all cases where the customer is concerned about the application of the liability for tax or the fulfillment of the presumption that was added as part of the extension of the institute of liability for unpaid VAT. The customer is obliged to mark the payment as if it were paid by the supplier. The payment will also need to be marked with a variable symbol according to the current MFSR decree.</p>
<p style="text-align: justify;"><strong>In addition to the above-mentioned changes, the amendment to the VAT Act also concerns the following areas:</strong></p>
<ul style="text-align: justify;">
<li>changes in the registration obligation – deletion of registration cards</li>
<li>changes to special arrangements based on the OSS principle</li>
<li>delivery of the beverage in a backed-up packaging</li>
<li>specifying the correction of the accounted deduction</li>
<li>changes to the VAT law triggered by the transposition of EU directives (EU Council Directive 2019/2235 and EU Council Directive 2021/1159)</li>
</ul>

			<p class="v1paragraph"><span class="v1normaltextrun"><span lang="EN-US">The VAT payer also has the opportunity to send the bank accounts detailsof a  person other than the taxpayer (within the holding company or within the group), and his or her account is considered to be the VAT payer&#8217;s own account. In this case, the VAT payer is obliged to announce the beneficial owner of the bank account at the same time, who will be jointly and severally liable for the tax stated on the invoice, which (part of it) the supplier did not pay within the tax due date and the consideration (or part thereof) has been paid into such a bank account.</span></span><span class="v1eop"> </span></p>
<p class="v1paragraph"><span class="v1normaltextrun"><span lang="EN-US">The reason for  bank account&#8217;s details disclosure is the fact, that with effect from 1 January 2022, if the taxpayer pays for the delivered goods / services to supplier to a bank account that  the tax office is not aware of, it is not the supplier who pays the tax but the customer.</span></span></p>
<p class="v1paragraph"><span class="v1normaltextrun"><span lang="EN-US">If the taxpayer does not provide the account details, the tax administrator will return the excess VAT deduction within 10 days from the date of its notification. If the bank accounts details are not provided,  the excess VAT deduction might be not refunded or a fine by the financial administration in the amount of € 30 to € 3.000 can be imposed.</span></span><span class="v1eop"> </span></p>
<p class="v1paragraph"><span class="v1normaltextrun"><span lang="EN-US">In case that the taxpayer provides incorrect, false or incomplete information in the form, the tax administrator will impose a fine of up to € 10.000 depending on the severity and duration of the illegal situation.</span></span><span class="v1eop"> </span></p>
<p class="v1paragraph"><span class="v1normaltextrun"><span lang="EN-US">Registered VAT payers are also obliged to notify of any subsequent change or additions to the bank accounts without delay.</span></span><span class="v1eop"> </span></p>
<p class="v1paragraph"><span class="v1normaltextrun"><i><span lang="EN-US">If we represent you in electronic communication with the Financial Administration, please send us the numbers of all your <b>bank accounts  in the Slovak Republic and abroad </b>(please indicate the bank account to which you wish to return the excess VAT deduction)  you use for business subjected  to VAT in Slovakia and we will fulfill this obligation towards the Financial Administration of the Slovak Republic on your behalf. The purpose of this legislation is to provide a subsidy to employees and employers in emergency situations, which resulted in the employer’s inability to assign work to the employees. The newly adopted Act will enter into force on 1 January 2022.</p>
<p style="text-align: justify;">Only employers who pay<strong> insurance premiums to finance subsidies during short-time work</strong> will be eligible for the short-time work scheme referred to as “Kurzarbeit”. However, the introduction of a new social insurance contribution does not increase the social security burden, as this type of insurance will form part of the unemployment insurance premium (i.e. the unemployment insurance premium at the rate of 1% paid by the employer will be divided into the unemployment insurance premium to finance the short-time work subsidy at a rate of 0.5% and the unemployment insurance premium at a rate of 0.5% of the assessment base).</p>
<p style="text-align: justify;">In the event that an employer is unable to assign work to employees due to an obstacle caused by an external factor, the employer will be eligible to apply for short-time work subsidy from the “Kurzarbeit” scheme, which will be granted by the Social Insurance Agency through the Office of Labour, Social Affairs and Family. The subsidy will be paid directly to employers, who will then use it to pay wage compensation to employees.</p>
<p style="text-align: justify;">Under the legislation, <strong>external factors</strong> are considered to be circumstances of a temporary nature which the employer could not influence nor prevent and which had a negative impact on the assignment of work to the employer’s employees, in particular:</p>
<ul style="text-align: justify;">
<li>extraordinary event,</li>
<li>state of emergency,</li>
<li>extraordinary circumstance or occurrence of force majeure.</li>
</ul>
<p style="text-align: justify;">Under the legislation, an extraordinary circumstance refers to a circumstance that may be declared by the Government of the Slovak Republic:</p>
<ul style="text-align: justify;">
<li>on the basis of information published by the Statistical Office of the Slovak Republic, where the gross domestic product for the preceding quarter at constant prices decreases year-on-year,</li>
<li>and on the basis of a prognosis published by the Macroeconomic Forecasting Committee that follows immediately after, where the respective annual gross domestic product at constant prices decreases by at least 3% year-on-year.</li>
</ul>
<p style="text-align: justify;">War and state of war, seasonality of the activity performed, restructuring, planned shutdown, or reconstruction shall not be considered to be an external factor.</p>
<p style="text-align: justify;"><span style="font-size: 18px; color: #00a0e3;">Who shall be eligible to receive the subsidy?</span></p>
<p style="text-align: justify;">Employers, both natural and legal persons, may apply for the subsidy under Section 7 of Act No. 461/2003 Coll. On Social Insurance, as amended. For the purpose of receiving a subsidy from the “Kurzarbeit” scheme, the term employee refers to an employee who is:</p>
<ul style="text-align: justify;">
<li>in an employment relationship or in a civil service employment relationship,</li>
<li>in an employment relationship on the basis of a contract for the professional practice of sport.</li>
</ul>
<p style="text-align: justify;"><span style="color: #00a0e3; font-size: 18px;">What are the eligibility criteria for the subsidy?</span></p>
<p style="text-align: justify;">The basic condition constitutes the employer’s inability to assign work to at least 1/3 of their employees at the extent of <strong>at least 10% of the prescribed weekly working time</strong>. Additional conditions that need to be met in order for the employer to be eligible for the subsidy:</p>
<ul style="text-align: justify;">
<li>as of the date of submission of the application for the subsidy, the employer <strong>paid all required social security contributions</strong> and compulsory <strong>old-age pension contributions</strong> over the period of at least 24 calendar months preceding the month, for which the subsidy is requested;</li>
<li>the employer <strong>did not breach the illegal employment legislation</strong> during the past two years preceding the submission of the subsidy application;</li>
<li>the employer concluded a<strong> written agreement</strong> with the employee representatives or with the affected employees (in case there are no employee representatives at the employer’s), whereby the employer would apply for the subsidy, or the employer receives the consent of an arbitrator under the Labour Code to apply for the subsidy;</li>
<li>the employer applies for the subsidy no later than at the end of the calendar month following the calendar month for which they apply for the subsidy.</li>
</ul>
<p style="text-align: justify;">In the event that the employer and the employee representatives or the affected employees fail to reach an agreement, the <strong>arbitrator</strong>, i.e. a person agreed upon by the parties to the dispute or a person appointed by the Ministry of Labour, Social Affairs and Family, shall resolve the dispute. The arbitrator shall decide within 10 days whether or not they agree with the submission of the application for the subsidy. The arbitrator shall receive a remuneration for the resolution of the dispute in the amount agreed upon with the employer. If no agreement is reached, the arbitrator shall be entitled to a fee of EUR 600. The remuneration shall be paid by the employer.</p>
<p style="text-align: justify;">The subsidy shall be granted for <strong>employees</strong>:</p>
<ul style="text-align: justify;">
<li>whose employment relationship has lasted for a period of at least one month as of the date of the subsidy application submission;</li>
<li>who are not in the notice period;</li>
<li>who have used their leave entitlement for the previous calendar year and have also used up their positive working time account balance and the employer cannot reassign them to another job position within the agreed type of work.</li>
</ul>
<p style="text-align: justify;"><span style="font-size: 18px; color: #00a0e3;">Amount of subsidy</span></p>
<p style="text-align: justify;">The <strong>subsidy</strong> is granted to the employer <strong>in the amount of 60% of the employee’s average hourly wage for each hour of obstruction to work</strong>. The amount is capped at 60% of 1/174 of twice the average wage of an employee in the economy of the Slovak Republic. This amount shall be published by the Statistical Office of the Slovak Republic for the calendar year two years preceding the calendar year in which the subsidy is granted.</p>
<p style="text-align: justify;">The use of the “Kurzarbeit” subsidy is conditional on an agreement between the employer and the employee representatives. This agreement entitles the employer to apply for the subsidy and also requires the employer to pay the employees <strong>compensation</strong> <strong>of at least 80% of their average wage</strong> for the duration of the obstacle to work, which is at least equal to the minimum wage.</p>
<p style="text-align: justify;"><span style="font-size: 18px; color: #00a0e3;">Period of drawing of the subsidy</span></p>
<p style="text-align: justify;">The employers shall be entitled to receive the subsidy in total for a maximum period of <strong>six months within any 24 consecutive months.</strong>  However, the employer shall be obliged to maintain the job for which they received a subsidy <strong>for at least 2 months</strong> following the month in which they experienced the obstacle to work.</p>
<p style="text-align: justify;"><strong><em>Example:</em></strong></p>
<p style="text-align: justify;"><em>An employer employing 15 employees experienced an obstacle to work as a result of flooding from March 13 to March 22. During this period the employer was unable to assign work to seven employees. The employees’ working time is 40 hours a week. The employees’ average hourly wage is EUR 5.</em></p>
<p style="text-align: justify;"><em>The employer was unable to assign work to more than one-third of the employees as a result of flooding. This obstacle is regarded to be an external factor under the legislation. The employees were unable to be assigned work to the full extent of their working time (at least 10%) for a period of ten days. For this period, the employer shall be entitled to receive a subsidy of 60% of the employees’ average hourly wage, which equals EUR 3 (60% of EUR 5), i.e. the employer shall receive EUR 240 per employee (EUR 3 × (10 × 8 hours)).</em></p>
<p style="text-align: justify;"><em>However, employees shall be entitled to a compensation of 80% of their average wage (under Section 134 of the Labour Code, this constitutes the average hourly wage). Therefore, the employer shall be obliged to pay the employees the remaining 20% of their average hourly wage. As a result, the employer shall pay EUR 4 per employee (80% of EUR 5) for each hour for which the employer was unable to assign work to the employees, which equals EUR 360 per employee for the entire period of the obstacle to work on the side of the employer. </em></p>
<p style="text-align: justify;"><em>In the event that the wage compensation of 80% of the employees’ average wage would be less than the amount of the minimum wage, the employees shall be entitled to wage compensation equal to the minimum wage. </em></p>

<p style="text-align: justify;">One of the most significant changes introduced by the amendment to the Labour Code is the possibility for an employee to choose between meal vouchers and a financial contribution for meals. This alternative is an addition to the <strong>three existing catering options</strong> (i.e. (1) own catering facility, (2) catering facility of another employer, and (3) meal vouchers).</p>
<p style="text-align: justify;">The employee is bound by their selection for a period of <strong>12 months</strong> from the date on which the selection is made. The details of the selection process and the implementation of the employer’s obligation to provide meals or a financial contribution for meals on the basis of the employees’ selection may be laid down by the employer in an internal regulation.</p>
<p style="text-align: justify;">Entitlement to meals or a financial contribution for meals arises to employees who work for more than four hours per shift. If the working shift <strong>lasts more than 11 hours</strong>, the employer may provide the employee with additional meals or an additional financial contribution for meals. The amount of the financial contribution for meals shall constitute the amount which the employer contributes to the meals of other employees, but <strong>not less than 55% of the minimum value of the meal voucher</strong>. If the employer does not contribute to the meals of other employees, for example, due to not having other employees, the amount of the financial contribution for meals is at least 55% of the minimum value of the meal voucher and no more than 55% of the meal allowance provided for a business trip of <strong>5 to 12 hours</strong>.</p>
<p style="text-align: justify;">The employer may still provide the employees with a contribution for meals from the social fund. The financial contribution will be exempt from income tax, as well as social and health insurance contributions.</p>
<p style="text-align: justify;">However, under transitional provisions, an employer who entered into a contract for the provision of meal vouchers with a legal entity or a natural person authorised to arrange catering services prior to 1 January 2022 is obliged to comply with the new legislation only after the end of said contract, but no later than on 1 January 2022. <strong>With effect from 1 January 2023, meal vouchers will be provided in electronic form in order to prepare both the companies and the employers for the introduction of the electronic form of meal vouchers.</strong></p>
<p style="text-align: justify;"><span style="color: #00a0e3; font-size: 16px;">Temporary assignment of employees</span></p>
<p style="text-align: justify;">The amendment to the Labour Code also introduced a change in the assignment of employees between the controlling and controlled entity (parent company and subsidiary), whereby the assignment will not be subject to the condition of objective operational reasons on the part of the original employer or the 3-month duration of employment with the employee, after the expiry of which the assignment can be agreed upon, provided that such a temporary assignment is agreed free of charge. However, reimbursement of the costs of the employee’s wage, employer&#8217;s insurance contributions and other overhead costs related to the temporary assignment may be agreed upon between the employers, as well as in the event of a temporary assignment between employers who are not controlling and controlled entities.</p>
<p style="text-align: justify;"><span style="font-size: 16px; color: #00a0e3;">Definition of an employee permanently caring for a child effective as of 1 January 2022</span></p>
<p style="text-align: justify;">The Labour Code was amended to include a definition of an employee <strong>permanently caring for a child</strong>. The definition is important in determining the length of annual leave. The basic requirement is personally caring for a minor child entrusted under a court decision or one’s own minor child; this also includes alternative personal care.</p>
<p style="text-align: justify;">This means, for example, that an employee is entitled to 5 weeks’ leave if they are personally caring for their own minor child, either alone or as part of the alternative personal care provided by both parents. In the case of a divorce, 5 weeks’ leave shall not be granted to an employee who is divorced and the court awarded custody of the child only to the other parent after the divorce. An employee who is cohabiting with a spouse/partner and the spouse’s/partner’s child and the child is neither the employee’s nor is the employee awarded custody of the child shall not be entitled to 5 weeks’ leave.</p>
<p style="text-align: justify;">This role shall commence on the date on which the employee notifies the employer in writing that they are permanently caring for the child and shall cease on the date on which the employee ceases to permanently care for the child. This provision takes effect from 1 January 2022 in order to ensure that the calculation of leave is assessed over a full calendar year.</p>
<p style="text-align: justify;"><span style="color: #00a0e3; font-size: 16px;">Domestic work and telework</span></p>
<p style="text-align: justify;">The basic criterion for determining <strong>domestic work</strong> and <strong>telework</strong> is the regularity of performed work outside the employer’s workplace. Domestic work or telework refers to work that could be performed from the employer’s workplace but is instead performed from the employee’s household on a regular basis within the scope of the employee’s weekly working time or a part thereof. Home refers to the agreed place of work outside the employer’s workplace, which may be the place where the employee actually resides or a different place or places agreed upon with the employer. Domestic work or telework must be agreed upon in an employment agreement or in an addendum to the employment agreement.</p>
<p style="text-align: justify;">The amendment to the Labour Code establishes the employees’ right to be offline, the principle of equal treatment of employees working from home and employees working at the employer’s workplace as well as the obligation to inform the employer in case of technical problems. The employer is obliged, inter alia, to provide the employee with compensation, under the conditions laid down in the collective agreement or employment agreement, for the employee’s <strong>demonstrable increased expenses</strong> associated with the use of the employee’s own tools, equipment, and items necessary for the performance of domestic work or telework.</p>
<p style="text-align: justify;"><span style="font-size: 16px; color: #00a0e3;">Extension of the probationary period</span></p>
<p style="text-align: justify;">Under the amendment to the Labour Code, the employee’s<strong> probationary period is extended by the time taken up by all-day obstacles to work on the side of the employee</strong> that arose during the probationary period. In the event the employee fails to complete the entire work shift, the probationary period is extended <strong>by one day</strong>.</p>
<p style="text-align: justify;"><span style="color: #00a0e3; font-size: 16px;">New dismissal reason from the employer effective as of 1 January 2022</span></p>
<p style="text-align: justify;">The employer is entitled to terminate the employment relationship even when the employee has reached the <strong>age of 65 years</strong> and has also reached the age eligible for a retirement allowance (both conditions have to be met concurrently).</p>
<p style="text-align: justify;"><span style="font-size: 16px; color: #00a0e3;">More part-time opportunities for persons over the age of 15</span></p>
<p style="text-align: justify;">With the permission of the Labour Inspectorate, employers will now also be able to employ persons <strong>over the age of 15</strong> who have not yet completed compulsory schooling to perform light work. This measure provides opportunities for summer jobs to those who have completed their first year of secondary school.</p>
<p style="text-align: justify;"><span style="font-size: 16px; color: #00a0e3;">Status of a secondary school student or a university student valid until 31 October</span></p>
<p style="text-align: justify;">The amendment to the Labour Code also regulates the status of students. <strong>Under the amendment, the student status of secondary school students and university students will be valid until 31 October</strong> of the relevant calendar year in which they completed their studies. This measure introduces the possibility for students to work during the summer holidays on the basis of a student work agreement.</p>
<p style="text-align: justify;"><span style="font-size: 16px; color: #00a0e3;">Dispute over the operation of a trade union with the employer</span></p>
<p style="text-align: justify;">The operation of a trade union at a workplace is also to be amended. The employer is obliged to allow trade unions to operate at the workplace only if there are union members among the employees. Dispute over the operation of a trade union with the employer occurs when the employer or the trade union operating with the employer have doubts as to whether the trade union (which informed the employer in writing about their operation) has a presence among the employer’s employees.</p>
<p style="text-align: justify;">Such a dispute shall be resolved by an arbitrator agreed upon by the employer and the trade union or appointed by the Ministry of Labour, Social Affairs and Family of the Slovak Republic. Both parties are obliged to provide the arbitrator with a list of employees or a list of members of the trade union who are employees of the relevant employer. The arbitrator must notify both parties of the outcome of the dispute within 30 days of the commencement of the dispute resolution.</p>

<p style="margin-top: 0cm; background: white; text-align: justify;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">On 4 May 2021, the National Council of the Slovak Republic adopted Act No. 215/2021 Coll. on Compensation for Reduced Working Hours and on amendments to certain acts with effect from 1 January 2022, which amends Sections 9 and 13 of Act No. 595/2003 Coll. on Income Tax, as amended.</span></p>
<p style="margin-top: 0cm; background: white; text-align: justify;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">Under this amendment, compensation for reduced working hours also falls under the tax-exempt <b>income of natural persons</b>.</span></p>
<p style="margin-top: 0cm; background: white; text-align: justify;"><b><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">Compensation paid to a legal entity</span></b><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;"> for reduced working hours is also considered tax-exempt income.</span></p>
<p style="margin-top: 0cm; background: white; text-align: justify;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">Compensation for reduced working hours refers to the provision of a subsidy to partially compensate employer costs for employee wage compensation during the period of a restriction of the employer’s business activities caused by an external factor. Compensation for reduced working hours is to be granted to an employer who meets the conditions defined in the Act on Compensation for Reduced Working Hours and is to be provided by the Centre of Labour, Social Affairs and Family or the Office of Labour, Social Affairs and Family.</span></p>
<p style="margin-top: 0cm; background: white; text-align: justify;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">Under Section 2(c) of Act on Compensation for Reduced Working Hours, an external factor is of a temporary character, cannot be influenced or prevented by the employer and has a negative impact on the assignment of work to employees, for instance, state of emergency, extraordinary circumstances, or force majeure. However, it does not include war, state of war, seasonal work, restructuring, planned shutdown or reconstruction.</span></p>
<p style="margin-top: 0cm; background: white; text-align: justify;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">As the compensation for reduced working hours provided to the employer to partially reimburse the costs incurred to pay the employees’ wage is considered tax-exempt income, <b>expenses (costs) incurred for income not included in the tax base are not considered tax expenses under Section 21(1)(j) of the Income Tax Act.</b></span></p>

<p style="text-align: justify;">Below is a summary of the latest news on the upcoming amendments to the Labour Code (i.e. amendment to Act No. 311/2001 Coll.) and the Tax Code (i.e. amendment to Act No. 563/2009 Coll. on Tax Administration). In addition to the Tax Code, the amendment to the Tax Code should also amend the Income Tax Act (i.e. amendment to Act No. 595/2003 Coll.) and the Value Added Tax Act (i.e. amendment to Act No. 222/2004 Coll.).</p>

			<p style="text-align: justify;">Soon after entering into force, the March 2021 amendment to the Labour Code had to undergo further legislative amendment. At the June session of the National Council of the Slovak Republic, an amendment to the Labour Code underwent the first reading. This amendment set out to regulate a number of contentious points.</p>
<p style="text-align: justify;">Below you can find several unaddressed issues regulated by the submitted proposal.</p>
<p style="text-align: justify;">The amount of the meal allowance is adjusted – the employer will be able to grant employees up to 100% of the amount of the meal allowance provided for a business trip lasting 5 to 12 hours instead of the current statutory 55% (i.e. currently no more than EUR 2.81). This applies to each of the statutory meal forms. This increased allowance up to a value of EUR 5,10 is exempt from personal income tax and social security contributions and is considered a tax-deductible expense for the employer.</p>
<p style="text-align: justify;">Less red tape and payment in arrears – the practice has shown complications in the advance payment of meal allowance while maintaining the purpose of the contribution. In order to eliminate these complications, the amendment introduces the possibility to provide meal vouchers and financial contribution in arrears for the previous calendar month. This measure should eliminate problems with the meal entitlement calculation which could not have been taken into account (e.g. unplanned leave, sudden termination of employment).</p>
<p style="text-align: justify;">Measures regarding sole proprietors and other self-employed individuals – sole proprietors will be able to claim EUR 5.10 for meals for each working day. In addition, the obligation to document the amount of meal expenses will be abolished.</p>
<p style="text-align: justify;">Once the amendment to the Act is approved by the National Council of the Slovak Republic, as presented, it will enter into force on 1 January 2022.</p>
<p style="text-align: justify;">After the first reading in June, the following parliamentary session is scheduled to take place in September after the summer break. We will continue to closely monitor the legislative process regarding this field and will keep you informed of any changes.</p>

			<p style="text-align: justify; margin: 0cm 0cm 18.0pt 0cm;"><b><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">On 26 April 2021</span></b><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">, the Ministry of Finance of the Slovak Republic submitted a draft amendment to the Tax Code <b>to the interdepartmental consultation procedure</b>. It was drafted on the basis of the government policy statement and proposes a number of measures.</span></p>
<p style="margin-top: 0cm; text-align: justify; background: white;"><strong><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">Abolition of registration certificates and reduction of the fee for a binding opinion.</span></strong></p>
<p style="margin-top: 0cm; text-align: justify; background: white;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">As part of the measures to foster entrepreneurship, it is proposed to <b>abolish the so-called “registration certificates”</b> as well as the related obligation to submit them to the tax administrator for the purpose of registering changes. The obligation to return the certificate is also to be abolished.</span></p>
<p style="margin-top: 0cm; text-align: justify; background: white;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">The amendment also proposes to <b>reduce the fee for binding opinions</b>. Upon filing a request for a binding opinion, the taxpayer will <b>pay the amount of EUR 1,000</b>. A highly reliable taxpayer, on the other hand, will pay half this amount upon filing a request. This is the amount per one opinion.</span></p>

This index is to be used as a transparent and objective rating of taxpayers based on the fulfilment of their obligations towards the Financial Directorate. In case of disagreement with the rating, the taxpayer will be entitled to lodge an objection within 15 days of the date of receipt of the notification. In case of an excellent rating, taxpayers will be entitled to certain benefits, e.g. longer deadlines for response to the tax administrator or for the submission of documents, reduction of the fee for a binding opinion by half. On the other hand, unreliable taxpayers will receive the so-called “malus”, e.g. shortening the deadline for fulfilling obligations in the tax proceedings to 8 days.</span></p>

			<p style="text-align: justify;">To combat tax fraud, the forthcoming amendment proposes to introduce the <strong>exclusion of a natural person.</strong> This amendment will enable tax administrators to issue a decision on the exclusion of a natural person, who is the statutory body of a taxpayer or a member of the statutory body and seriously violates their tax obligations.</p>
<p style="text-align: justify;">The consequence of the decision on the exclusion is that the excluded natural person, who is the statutory body or a member of the statutory body, must not act as the statutory or the supervisory body in a company or a cooperative.</p>
<p style="text-align: justify;">The tax administrator will issue an exclusion order of the taxpayer if the taxpayer:</p>
<ol style="text-align: justify;">
<li>completed tax audit and has tax arrears or arrears of other monetary benefits totalling at least EUR 5,000 for more than one year, or</li>
<li>submitted value-added tax returns for the tax year and the tax audit ascertaining the eligibility of the claim relating to that tax year was completed.</li>
</ol>
<p style="text-align: justify;">The natural person is to be excluded from the date on which the decision on the exclusion becomes final and the exclusion period shall be three years from the date on which the decision becomes final.</p>

			<p style="text-align: justify;">Following the amendments to the “personal bankruptcy” institute in the Act on Bankruptcy and Restructuring, it is proposed to clarify the provisions on the extinction of tax arrears in the event of payment of debt.</p>
<p style="text-align: justify;">The extinction applies to unenforceable tax arrears resulting from the bankruptcy of a natural person, where the extinction of tax arrears will apply to unenforceable tax arrears, both in the case of bankruptcy declared under Article 4 of the Act on Bankruptcy, as well as in the case of bankruptcy declared on the property of a natural person under Article 2 of the Act on Bankruptcy (i.e. Act No. 7/2005 Coll.) and in the case of payment of debt carried out in the context of the provision of Section 206f(4) of the Act on Bankruptcy.</p>
<p style="text-align: justify;">In practice, there have been cases where tax debtors have failed to submit tax returns within the deadline stipulated under the law, resulting in the initiation of the restructuring proceedings and the authorisation of restructuring. In the event a tax debtor submitted tax returns after the restructuring procedure has been initiated and a tax obligation has arisen which became due prior to the initiation of the restructuring procedure, this constitutes tax arrears corresponding to a claim for the purposes of the restructuring. The tax administrator was no longer able to declare the tax arrears in question because the deadline for declaring restructuring claims had expired.</p>
<p style="text-align: justify;">It is precisely due to the objective impossibility of the tax administrator to declare the tax arrears as a restructuring claim that it is necessary to stipulate that such tax arrears do not cease to exist in so far as they result from the tax returns if the deadline for the submission of the tax returns expired prior to the initiation of the restructuring procedure, yet the tax returns have not been submitted prior to the initiation of the restructuring procedure. It is also proposed to consider such tax arrears as a claim arising after the initiation of the restructuring procedure.</p>

			<p style="margin-top: 0cm; background: white; text-align: justify;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">An amendment is proposed under which the taxpayer in receipt of a taxable transaction should or may have known that another domestic taxpayer would not pay the entire tax amount. </span></p>
<p style="margin-top: 0cm; background: white; text-align: justify;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">The tax guarantee will also apply in cases where the consideration for the supplied goods or services is paid to the supplier’s bank account that does not feature on the list of bank accounts published by the Financial Directorate of the Slovak Republic.</span></p>
<p style="margin-top: 0cm; background: white; text-align: justify;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">The amendment to the Value Added Tax Act introduces the possibility for taxpayers to verify whether they pay the consideration to the bank account of the supplier that was submitted to the Financial Directorate. Under the amendment, a notification obligation is introduced, whereby taxpayers must use the electronic form published on the Financial Directorate website to submit the details of their bank accounts used for their business activities that should be subject to VAT. </span></p>
<p style="margin-top: 0cm; background: white; text-align: justify;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">A list of the submitted bank accounts will be published and updated on a daily basis by the Financial Directorate of the Slovak Republic. In the event that the customer who is a taxpayer sends the payment for goods or services to an account that was not submitted, the taxpayer in question may face the risk of being held liable for VAT on said transaction provided that their supplier fails to pay this VAT themselves.</span></p>
<p style="margin-top: 0cm; background: white; text-align: justify;"><span lang="EN-GB" style="font-family: 'Arial',sans-serif; color: #607580;">However, it will be possible for the customer to eliminate the risk of being held liable for the payment of VAT. If the customers fear that the Financial Directorate may hold them liable, <b>they</b> <b>will be able to split the payment and pay the amount of VAT directly to the bank account of their supplier of goods or services held with the tax authorities.</b> In this case, the tax administrator will no longer require the customers to pay the amount of VAT unpaid by their supplier.</span></p>

<p style="text-align: justify;">In research and development cost deduction, the costs covered by the public support may not be deducted. The Amendment allows the inclusion of wage costs which were supported by a contribution provided under the active labour market policy in connection with the declaration of the state of emergency and the mitigation of its consequences.  This procedure is a financial support provided under this type of measures as a flat-rate contribution per employee depending on the drop in revenues during the state of emergency (the so-called 3B measure). This is defined in <a href="https://www.danovecentrum.sk/form/goto.ashx?t=27&amp;p=4267401&amp;f=3">Section 30c(5)(a) of the Income Tax Act</a>. This procedure will be applies when submitting tax returns after 31 December 2020.</p>

<p style="text-align: justify;">Section 2(d) of the Income Tax Act defines a legal person to be a resident of Slovakia, provided that their registered office or place of effective management is located in the territory of the Slovak Republic. The term “registered office” is being supplemented by a reference to the Commercial Code and the “place of effective management” criterion is specified as well. Within the meaning of the Amendment, the place of effective management is considered to be a place where <strong>key management decisions and business decisions are made or taken for the legal person as a whole.</strong> This applies regardless of whether these decisions are taken by the bodies of a legal person or by other persons. Consequently, decisions for smaller organisational units of a legal entity, nor decisions of an administrative nature, are not considered to be key decisions for the legal entity as a whole. These provisions are particularly important for companies with an international ownership structure, especially those with holding companies abroad.</p>
<h2 style="text-align: justify;"><span style="font-size: 20px; color: #00a0e3;">Changes in the application of a reduced tax rate of 15%</span></h2>
<p style="text-align: justify;">With effect from 1 January 2021, the 15% tax rate is retained only for taxpayers (legal or natural self-employed persons under Section 6(1) and (2)) whose taxable income does not exceed <strong>EUR 49,790</strong> per tax year. This change also applies to entities with the status of a micro-taxpayer. For these purposes, only <strong>taxable income</strong> will be considered income. For the 2020 tax year, an income threshold of up to EUR 100,000 applies for the application of the 15% tax rate.</p>
<h2 style="text-align: justify;"><span style="font-size: 20px; color: #00a0e3;">The exception for cross-border workers is repealed</span></h2>
<p style="text-align: justify;">The procedure is changing in regards to determining the tax residence of natural persons under Section 2(e) of the Income Tax Act who cross the border into the Slovak Republic on a daily basis for the purpose of performing a dependent activity and who would otherwise be tax residents of the Slovak Republic. From 1 January 2021, the tax residence of these natural persons is determined <strong>according to the delimitation criteria</strong> defined in the relevant double taxation avoidance agreement. A similar procedure will be followed when determining the tax residence of legal persons, i.e. the conflict of double residence shall be resolved in accordance with the provisions of the relevant double taxation avoidance agreement.</p>
<h2 style="text-align: justify;"><span style="font-size: 20px; color: #00a0e3;">Exemption of benefits provided under the “First Aid” active labour policy</span></h2>
<p style="text-align: justify;">Benefits <strong>provided under the active labour policy</strong> for projects to support job retention during the declared state of emergency in connection with the spread of COVID-19 <strong>shall be exempt from taxation</strong>. This applies to income from the use of “First Aid” contributions intended to support employers during the pandemic. Similarly, the benefits provided by the Ministry of Culture to support artists shall be exempt from taxation. <strong>Following the exemption of this income, it will be necessary to exclude expenses incurred on income not included in the tax base from tax expenses. </strong></p>
<h2 style="text-align: justify;"><span style="font-size: 20px; color: #00a0e3;">Tax expenditure of micro-taxpayers claiming the depreciation of receivables</span></h2>
<p style="text-align: justify;">Under Section 20(23) of the Income Tax Act, micro-taxpayers will be able to issue a write-down of receivables that have been included in taxable income<strong> in accordance with accounting standards.</strong> The currently approved Section 19(2)(r) of the Income Tax Act provides that from 1 January 2021, it will be possible for micro-taxpayers to claim the depreciation of a receivable for tax expenditure up to the amount of a write-down.</p>
<h2 style="text-align: justify;"><span style="font-size: 20px; color: #00a0e3;">The annual tax settlement may be made by any employer</span></h2>
<p style="text-align: justify;">From 2021 it will be possible to request the annual tax settlement of <strong>any employer</strong> who is a taxpayer and from whom the employee received income from dependent activity during the relevant tax year. Until now, only the last employer, with whom the employee claimed the non-taxable portion of the tax base for the taxpayer and the tax bonus, could make the annual tax settlement. The procedure for calculating the annual tax settlement is being specified as well.</p>
<h2 style="text-align: justify;"><span style="font-size: 20px; color: #00a0e3;">Settlement of the differences between paid and due advances will not be carried out from 2021</span></h2>
<p style="text-align: justify;">If the submitted tax return resulted in higher income tax advances for the taxpayers under the Income Tax Act in effect until 31 December 2020, taxpayers were obliged to settle these tax advances by the end of the calendar month after the deadline for the tax return submission. These tax advances were to be paid by the beginning of the tax year in the amount calculated on the basis of their submitted tax return.</p>
<p style="text-align: justify;">The amendment to the Act <strong>revokes the taxpayer’s obligation</strong> under Section 42(9) of the Income Tax Act to settle the difference in paid advances and payable advances from the beginning of the tax year to the end of the calendar month following the period for the tax return submission. Advances paid for the relevant tax year are offset against the tax due for the relevant tax year.</p>
<h2 style="text-align: justify;"><span style="font-size: 20px; color: #00a0e3;">Repeal of the tax exemption of the 13th and 14th salaries </span></h2>
<p style="text-align: justify;">With effect from 1 January 2021, the <strong>income exemption</strong> provided to employees for work during summer holidays and the Christmas holidays, i.e. 13th and 14th salaries <strong>is repealed</strong>. This exemption could have been claimed for the last time for income paid to employees on the occasion of the Christmas holidays no later than 31 December 2020.</p>

<h2 style="text-align: justify;"><span style="font-size: 20px; color: #00a0e3;">Abolition of the non-taxable portion of the tax base for thermal treatments</span></h2>
<p style="text-align: justify;">The non-taxable portion of the tax base for thermal treatments has been abolished from 2021. This non-taxable portion of the tax base could have been claimed for the last time for the 2020 tax year.</p>
<h2 style="text-align: justify;"><span style="font-size: 20px; color: #00a0e3;">The definition of taxpayers from non-cooperating jurisdictions is specified</span></h2>
<p style="text-align: justify;">Starting in 2021, the Ministry of Finance of the Slovak Republic will exclude the following countries from the national list of cooperating jurisdictions, which is always published on 1 January of the relevant calendar year:</p>
<ul style="text-align: justify;">
<li>countries that are on the EU list of non-cooperating jurisdictions for tax purposes published in the Official Journal of the EU, the so-called blacklist;</li>
<li>countries that do not apply corporate income tax,</li>
<li>countries that apply a corporate income tax rate of 0%.</li>
</ul>
<p style="text-align: justify;">If a non-cooperating jurisdiction is a contracting state of the Slovak Republic on the basis of a double taxation avoidance agreement, this state will not be included in the national list of cooperating jurisdictions. However, the aforementioned does not affect the application of the double taxation avoidance agreement in question.</p>
<h2 style="text-align: justify;"><span style="font-size: 20px; color: #00a0e3;">Date of creation of a permanent establishment </span></h2>
<p style="text-align: justify;">Under the new wording of Section 49(8) of the Income Tax Act, if a foreign taxpayer (under Section 48(1)(a) of the Income Tax Act) becomes aware <strong>a permanent establishment was established in Slovakia in the previous tax year, they shall be liable to fulfil additional obligations relating to the employer</strong> who is a taxpayer in the territory of the Slovak Republic (i.e. payment of income tax from dependent activity, submission of reports, etc.). The foreign taxpayer shall submit a tax return by the end of the third month after becoming aware of this fact and shall pay the tax within the same period. The aforementioned shall apply to foreign taxpayers who employed employees with limited tax liability in the territory of the Slovak Republic. The creation of a permanent establishment is assessed from the date of commencement of the “on-site” activity, i.e. in the territory of the Slovak Republic, which results from contractual relations (e.g. commercial agreements).</p>

<p style="text-align: justify;">The registration and notification obligation related to the tax registration of taxpayers – natural and legal persons – ex officio is changing. After the registration of a taxpayer (e.g. a company) in the Register of Legal Persons, the deadline for automatic tax registration performed by the tax administration is postponed to 1 January 2022. This fact is defined in <a href="https://www.danovecentrum.sk/form/goto.ashx?t=27&amp;p=2971865&amp;f=3">Section 49a(1) of the Income Tax Act</a> as well as in <a href="https://www.danovecentrum.sk/form/goto.ashx?t=27&amp;p=5280807&amp;f=3">Section 52zzk(1) of the Income Tax Act</a>.</p>
<h2 style="text-align: justify;"><span style="color: #00a0e3; font-size: 20px;">Introduction of new rules regarding reverse hybrid mismatches – in effect from 1 January 2022</span></h2>
<p style="text-align: justify;">With the implementation of the Anti-Tax Avoidance Directive 2, new rules have been introduced on hybrid mismatches with the aim of preventing non-taxation of income which occurs with reverse hybrid entities. According to the Directive, an entity shall be deemed <strong>an independent taxpayer</strong> if the state where the entity was established will consider such an entity to be transparent and this perception will be shared by the country of the non-resident founder of the company. These rules apply to income that would otherwise not be taxed in either country.</p>
<p style="text-align: justify;">From 1 January 2022, Section 17j containing a definition of the terms “transparent entity” and “reverse hybrid entity” is inserted into the Act. Within the meaning of this provision, a <strong>transparent entity</strong> refers to a public company or a general partnership with a registered office in the territory of the Slovak Republic, an entity with legal personality and an entity without legal personality, established or constituted in the territory of the Slovak Republic whose income (revenue) is taxed only at the level of partners or recipients of income (revenue) received from an entity with legal personality or recipients of income (revenue) received from an entity without legal personality.</p>
<p style="text-align: justify;">In the case of a <strong>reverse hybrid entity</strong>, this is a situation where the same entity is deemed:</p>
<ul style="text-align: justify;">
<li>from the point of view of the state of its establishment to be transparent – income is taxed at the level of the partner, and</li>
<li>from the point of view of the state of its founder to be an independent tax entity (non-transparent) – income is taxed at the level of the company – which creates the risk of double non-taxation.</li>
</ul>
<p style="text-align: justify;">Under Section 17j of the Income Tax Act, income accruing to foreign (non-resident) partners who meet the condition of owning <strong>50% or more</strong> of the shares in a transparent company will be taxed at the level of such transparent company with a corporate tax rate of 21%, provided that this income cannot be taxed through a permanent establishment, either in the State of residence of the relevant transparent company or abroad.</p>
<p style="text-align: justify;">Following the new rules, a new <strong>notification obligation </strong>for foreign partners of transparent companies under Section 49a of the Income Tax Act is introduced from 1 January 2022. Foreign partners meeting the criteria for participation in the share capital, voting rights or those entitled to at least a 50% share in the profits shall be obliged to declare the status of a transparent company in order to be able to apply a proper taxation method.</p>
<h2 style="text-align: justify;"><span style="color: #00a0e3; font-size: 20px;">Extension of CFC rules to natural persons – in effect from 1 January 2022</span></h2>
<p style="text-align: justify;">Rules regarding controlled foreign corporations (CFC rules) refer to measures intended to prevent diverting profits to tax havens.  With the Amendment to the Act, these rules also apply to natural persons as of 1 January 2022. These are most often shell companies established in countries with minimal or no tax burden whose activities affect Slovak natural persons. Income from these companies is not taxed in the territory of the Slovak Republic as dividends but it is taxed at the minimum tax rate or not at all.</p>
<p style="text-align: justify;">A controlled foreign corporation (“CFC”) refers to a situation where:</p>
<ul style="text-align: justify;">
<li>natural persons by themselves or together with dependent persons have a direct, indirect, or an indirect derived share in the capital, voting rights or are entitled to at least a 10% share in the profits, or have effective control over this company;</li>
<li>a controlled foreign corporation is a taxpayer of a non-cooperating jurisdiction or is not a taxpayer of a non-cooperating jurisdiction but the effective taxation of income is less than 10%.</li>
</ul>
<p style="text-align: justify;">Effective taxation is calculated as the ratio of demonstrably paid tax of the CFC income and the economic outturn of the CFC.</p>
<p style="text-align: justify;">The new Section 51h of the Income Tax Act sets the CFC rules for natural persons as a result of which the CFC’s profit shares (dividends) will be taxed <strong>at the moment of their potential claim by taxpayers</strong> (natural persons) and not when they are paid. Such assigned dividends that have not yet been paid are taxed through a special tax base with a <strong>25%</strong> or <strong>35%</strong> (CFC from a non-cooperating jurisdiction) tax rate. The situations of direct and indirect participation in the CFC, as well as the tax credit, are regulated separately.</p>
<p style="text-align: justify;">The aforementioned procedure <u>does not apply</u> if:</p>
<ul style="text-align: justify;">
<li>the total amount of income attributable from the CFC does not exceed EUR 100 000,</li>
<li>the share in the foreign entity is included in the corporate tax base (if, for example, a Slovak natural person is a person dependent on a Slovak legal person, where both own a share in the CFC),</li>
</ul>
<p style="text-align: justify;">the CFC is a taxpayer from an EU Member State or from a country that is a contracting party to the EEA (European Economic Area) Agreement and the taxpayer can prove that the company’s income actually resulted from the business activities in said country and the taxpayer can support the statement by the real existence of the company premises, the employee’s activities, material equipment, etc. This exemption does not apply to CFCs from a non-cooperating</p>
<h2 style="text-align: justify;"><span style="color: #00a0e3; font-size: 20px;">Announcement of the amount and maturity of income tax advances in effect from 1 January 2022</span></h2>
<p style="text-align: justify;">From 2022, the tax administrator will inform all taxpayers who have submitted their income tax returns of the amount and maturity of income tax advances no later than 5 days prior to the due date of advances (Section 42(13) of the Income Tax Act).</p>
